Processor pass-through and limited collection-agent role
Counsel-approved language requiredChase Sets is not a bank. Buyer payments are processed through Stripe and collected on Chase Sets' own platform account, where funds are held until payout. After a seller requests and qualifies for payout, Chase Sets transfers the net proceeds from its platform balance to the seller's connected account and requests an on-demand payout through Stripe to the seller's payout destination. Amounts retained are governed by the Terms of Service and this document. If you want to receive payouts as a seller, Stripe requires you to review and accept the Connected Account Agreement it presents during its own onboarding flow before your account can receive funds.
Charge timing and statement descriptor
Counsel-approved language requiredFor a Marketplace checkout with an amount to pay through Stripe, Chase Sets creates your Orders before requesting payment. Chase Sets requests confirmation of a saved payment method or creates a payment session for you to complete. Creating an Order or requesting payment does not itself establish that funds have been captured; additional confirmation or authentication may be needed, and authorization is distinct from capture. Chase Sets records capture when a Stripe webhook or reconciliation result is mapped to a captured payment. Chase Sets sends a statement descriptor suffix to Stripe with the payment request.
Payout timing and clearance
Counsel-approved language requiredSettlement's Payout Release Hold keeps sale proceeds and shipping allowances pending until delivery, risk, support, and aging rules clear. Settlement owns the release decision even when Stripe payment risk checks pass. Once the funds are available, your account is cleared for payouts, you have a payout destination on file, and you request a payout, Chase Sets requests payouts to that destination through Stripe's payout systems. Stripe controls the mechanics and processing path funds follow after a payout is requested. This document does not state a fixed number of days for release or payout processing. Your payout-readiness status reflects whether your account is cleared, whether Stripe still needs information from you, and whether a hold described elsewhere in this document is active.
Payout fee
Counsel-approved language requiredEach payout you request carries a payout fee, published in the current Payout Fee policy document and deducted from the requested amount before Chase Sets sends the remainder toward your payout destination. Chase Sets shows you the fee before you confirm a payout request. If the Payout Fee policy document also sets a separate monthly active-account amount, that amount applies only once, on your account's first payout of each calendar month, and does not apply again to a later payout in that same month. This document does not restate the payout fee's rate or amount; the figures in effect are published in the Payout Fee policy document.
Holds, freezes, and offsets
Counsel-approved language requiredStripe may place a hold on funds connected to your account, pause your payout capability, or request additional verification in connection with risk review, incomplete verification, an open dispute, or its own compliance obligations. Chase Sets separately places its own hold on sale proceeds pending delivery, risk, support, and aging rules, and reflects that and other payout-unavailable states — such as an outstanding provider requirement — in your payout-readiness status. Where the Terms of Service authorize it, Chase Sets may also apply, hold, or offset your available Wallet balance against amounts you owe Chase Sets. Neither Chase Sets nor Stripe guarantees when a hold or freeze will be released.
Chargebacks and disputes
Counsel-approved language requiredIf a buyer disputes a charge with their card issuer or bank, or opens a dispute through Stripe, Stripe manages that chargeback or dispute under its own card-network and processor rules, including any evidence submission process. While a dispute is open, Chase Sets may hold the related pending sale proceeds so they do not become available to the seller. If the dispute is resolved against the seller, Chase Sets records the resulting recovery against the seller's Wallet balance, which can create a negative balance if the related funds already left the Wallet. If the dispute is resolved in the seller's favor, Chase Sets releases the hold and credits the seller's Wallet balance. Chase Sets does not control a card network's or Stripe's dispute decision, evidence deadlines, or resolution timing.
KYC and verification
Counsel-approved language requiredBefore Stripe activates payout capability for your account, Stripe's onboarding requires identifying, business, banking, and tax information that Stripe or applicable law requires to verify who you are and to set up a payout destination. Stripe evaluates that information, may ask for more documentation, and controls whether and when your account clears for payouts. Chase Sets shows you the verification and payout-readiness status Stripe reports for your account so you can track outstanding requirements, but Chase Sets does not perform this verification itself and does not control Stripe's verification decisions or timing.
Ordinary payment-activity interest
Counsel-approved language requiredOrdinary Marketplace payment activity, including amounts pending payout, shares the Wallet interest question described below. The separate Prepaid Balance product term appears in the Prepaid Balance section.
Whether Chase Sets pays interest on Wallet balances is not yet resolved and is not addressed by this document pending qualified counsel review.
Tax-form delivery
Counsel-approved language requiredWhere applicable law requires a tax information return in connection with payments processed through the Marketplace, Stripe, as our payment processor, or Chase Sets, where legally required, prepares and makes it available using the tax information collected during onboarding. You are responsible for keeping that tax information accurate and current, and for your own tax reporting obligations.
Errors and unauthorized transactions
Counsel-approved language requiredIf you believe a charge, payout, or transfer connected to your Marketplace payment activity is unauthorized or was made in error, contact Chase Sets support. Chase Sets may investigate using the account and transaction information available to it and correct a confirmed error or unauthorized transaction through a Wallet Adjustment, a refund, or a request to Stripe, consistent with the Terms of Service. Chase Sets does not control the outcome or timing of an investigation your card network, bank, or Stripe conducts on its own.
Termination and residual obligations
Counsel-approved language requiredEnding your use of Payments features, closing your account, or Chase Sets suspending your account does not erase obligations that arose before that point. Amounts you owe Chase Sets, and any amount tied to an open dispute, chargeback, hold, or legal process, continue to apply after termination, and Chase Sets may continue to hold, apply, or offset available funds toward those obligations to the extent the Terms of Service already authorize. The provisions of this document that by their nature should survive termination — including your payment obligations, Chase Sets' processor pass-through role, and the dispute-related terms above — continue after your access to Payments features ends.
Prepaid Balance
Counsel-approved language requiredYou can add funds to your Wallet by card to create a Prepaid Balance. Adding funds charges your card the amount you request plus the processing fee that applies to a card payment under the Marketplace's checkout processing-fee terms; your account is credited the amount you requested, and the fee is not refundable. A Prepaid Balance is spent before any other available Wallet balance, so sale proceeds you are owed stay available for payout. You can spend a Prepaid Balance at checkout, on channel labels, and on other features that draw on your Wallet balance. You may request a refund of the unspent portion of your Prepaid Balance back to the card used to add it at any time within the refund window Stripe's processor rules allow; the processing fee charged when you added the funds is not part of that refund. Withdrawing older unspent Prepaid Balance to a bank account is not available in this version; Chase Sets may enable a bank-withdrawal option in the future, subject to conditions Chase Sets discloses when that option becomes available, and an amount that remains past the refund-to-card window stays spendable in the meantime. If a card charge that added funds is later disputed and the dispute is resolved against your account, Chase Sets recovers the disputed amount and the processor's dispute fee from your account; if a bank-withdrawal option is enabled, a withdrawal carries the processor's payout cost as a fee. Chase Sets does not pay interest on a Prepaid Balance, and a Prepaid Balance does not expire in this version. Chase Sets offers adding funds as part of its United States marketplace rollout, covering all 50 states and the District of Columbia. For each funding, Chase Sets requests 3D Secure authentication and requires your account to be in good standing and to have accepted the current Payments Terms. Chase Sets may set and change the minimum, per-funding, and rolling-period maximum amounts for adding funds; the amounts in effect when the funding feature launches are a minimum of $5.00 and a maximum of $500.00 per funding, and a maximum of $2,000.00 within any rolling thirty-day period. A Prepaid Balance is not Marketplace Credit: it is value you added with your own card, and Marketplace Credit, if offered, is governed by its own terms.
